1. ANALYSIS AND STRATEGY

• Review and, if necessary, adjustment or support in the preparation of the medium-term business plan;

• Preparation of a financial model based on the annual financial statements and the business plan;

​

• Support in the preparation of meaningful company documentation in the form of an information memorandum and a teaser for addressing buyers.

2. PREPARATION AND APPROACH

• Drawing up a list of potential acquirers (‘long list’);

​

• Discussion and approval of the long list and the non-disclosure agreements (NDAs) to be used;

​

• Selection and approach of suitable potential acquirers, including personal preliminary talks, initially on an anonymous basis;

​

• We prepare a management presentation if required;

​

• Conclusion of NDAs with the potential acquirers approved by us;

​

• Preliminary talks with potential acquirers, forwarding all relevant information to them;​

3. INITIAL OFFERS

• Preparation, coordination and support of management presentations for potential acquirers;

​

• Obtaining and evaluating purchase offers from potential acquirers;

​

• Joint selection of parties to be granted due diligence and with whom final contracts are to be negotiated;

​

• Support in the preparation and coordination of due diligence reviews and in the creation of a (virtual) data room;

4. AGREEMENT NEGOTIATION AND CLOSING

• Accompanying the discussions between the parties until the contract is signed and the transaction is consummated;

• Support in reviewing and completing the purchase agreement;

​

• Active support during the purchase agreement negotiations.
